1. Acceptance of Terms

By accessing or using Grit Café ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Grit Café is a productivity platform that helps users manage tasks, notes, and workflows with AI-powered optimization. The Service includes:

  • Task and checklist management
  • Note-taking and organization
  • AI-powered task optimization and suggestions
  • Delegation and collaboration features
  • Focus mode and productivity tools

3. User Accounts

3.1 Account Creation

You must create an account to use the Service. You agree to provide accurate, current, and complete information and to keep your account information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your password and account. You agree to notify us immediately of any unauthorized access or security breach.

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Subscription Plans and Billing

4.1 Plans

We offer Free, Plus, Pro, and Founder (lifetime) subscription plans. Each plan includes specific credit allocations and features as described on our pricing page.

4.2 Billing

  • Monthly subscriptions renew automatically on the billing date
  • Founder lifetime subscriptions are one-time payments with monthly credit renewals
  • Payments are processed securely through Lemon Squeezy
  • All fees are in USD unless otherwise stated

4.3 Cancellation and Refunds

  • You may cancel your subscription at any time
  • Cancellations take effect at the end of the current billing period
  • No refunds for partial months or unused credits
  • Founder lifetime purchases are non-refundable after 14 days
  • We reserve the right to issue refunds at our discretion

4.4 Price Changes

We may change subscription prices with 30 days' notice. Price changes do not affect active subscriptions until renewal. Founder lifetime pricing is locked in at purchase.

5. Credits and Usage Limits

5.1 AI Credits

AI credits are used for AI-powered features (task optimization, summarization, etc.). Monthly credits reset at the start of each billing period and do not roll over. Purchased credits never expire.

5.2 Delegation Credits

Delegation credits allow you to share tasks with other users. Monthly limits reset at the start of each billing period.

5.3 Fair Use

We reserve the right to limit usage that we determine to be excessive, abusive, or in violation of these Terms.

6. User Content

6.1 Your Content

You retain all rights to the content you create (tasks, notes, etc.). By using the Service, you grant us a license to store, process, and display your content solely to provide the Service.

6.2 AI Processing

When you use AI features, your content may be sent to third-party AI providers (OpenAI, Anthropic) for processing. We do not use your content to train AI models.

6.3 Prohibited Content

You may not use the Service to create, store, or share:

  • Illegal, harmful, or fraudulent content
  • Content that infringes intellectual property rights
  • Malware, viruses, or malicious code
  • Spam or unsolicited commercial content
  • Content that violates privacy or harasses others

7. Acceptable Use

You agree not to:

  • Reverse engineer, decompile, or attempt to extract source code
  • Use automated systems (bots, scrapers) without permission
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to systems or accounts
  • Resell or redistribute the Service without authorization
  • Use the Service for illegal purposes or to violate laws

8. Intellectual Property

The Service, including its design, code, features, and branding, is owned by Grit Café and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works without our permission.

9. Third-Party Services

The Service integrates with third-party services (Supabase, OpenAI, Lemon Squeezy, etc.). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE:

  • Uninterrupted or error-free operation
  • Accuracy or reliability of AI-generated content
  • Security against unauthorized access or data loss
  • Compatibility with all devices or browsers

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRIT CAFÉ SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, or consequential damages
  • Loss of data, profits, or business opportunities
  • Damages exceeding the amount you paid in the last 12 months

12. Indemnification

You agree to indemnify and hold harmless Grit Café from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

13. Data Backup

While we implement backup systems, you are responsible for maintaining your own backups of critical data. We are not liable for data loss.

14. Modifications to Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We are not liable for any modifications or discontinuation.

15. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of [Your Jurisdiction].

16. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law. You waive the right to participate in class actions.
